Accordingtothe“People’sBankofChinaLawofthePeople’sRepublicofChina”andotherlawsandregulations,thePeople’sBankofChinaformulatedthe“MeasuresfortheAdministrationofPaymentServicesforNon-FinancialInstitutions”.AdoptedattheofficemeetingoftheChiefExecutive,itisherebyannouncedandshallcomeintoforceonSeptember1,2010.

Нефинансови административни мерки за институционални платежни услуги

Глава Първа Общи разпоредби

Article1istopromotethehealthydevelopmentofthepaymentservicemarketandregulatethepaymentofnon-financialinstitutionsServicebehaviors,preventionofpaymentrisks,andprotectionofthelegitimaterightsandinterestsofthepartiesconcerned.Thesemeasuresareformulatedinaccordancewiththe"People'sBankofChinaLawofthePeople'sRepublicofChina"andotherlawsandregulations.

Article2Theterm“non-financialinstitutionpaymentservices”asmentionedintheseMeasuresmeansthatnon-financialinstitutionsactasintermediariesbetweenpayeesandpayeestoprovidesomeorallofthefollowingmonetaryandfundtransferservices:

(1) Онлайн плащане;

(2) Издаване и приемане на предплатени карти;

(3) Разписка от банкова карта;

(4) Китай Други платежни услуги, определени от Народната банка на Китай.

Theterm“onlinepayment”asmentionedintheseMeasuresreferstotheactoftransferringmonetaryfundsbetweenpayersandpayersbasedonpublicorprivatenetworks,includingcurrencyexchange,Internetpayment,mobilephonepayment,fixedphonepayment,digitalTVpaymentetc.

TheprepaidcardmentionedintheseMeasuresreferstotheprepaidvalueofgoodsorservicespurchasedoutsidetheissuinginstitutionforprofit-makingpurposes,includingtheuseofmagneticstripe,chipandothertechnologiesintheformofcards,passwords,etc.Aprepaidcardissued.

Article3Non-financialinstitutionsprovidingpaymentservicesshallobtainthe"PaymentBusinessPermit"inaccordancewiththeprovisionsoftheseMeasuresandbecomeapaymentinstitution.

PaymentinstitutionsacceptthesupervisionandmanagementofthePeople’sBankofChinainaccordancewiththelaw.

WithouttheapprovalofthePeople’sBankofChina,nonon-financialinstitutionorindividualmayengageinordisguisedlyengageinpaymentbusiness.

Article4Thetransferofmonetaryfundsbetweenpaymentinstitutionsshallbehandledbybankingfinancialinstitutions,andshallnotbehandledbymeansofmutualdepositofmonetaryfundsbypaymentinstitutionsorbyentrustingotherpaymentinstitutions.

Paymentinstitutionsshallnothandlethetransferofmonetaryfundsbetweenbankingfinancialinstitutions,exceptwithspecialpermission.

Article5Paymentinstitutionsshallfollowtheprinciplesofsafety,efficiency,integrityandfaircompetition,andshallnotharmthenationalinterest,socialpublicinterestandthelegitimaterightsandinterestsofcustomers.

Article6Paymentinstitutionsshallcomplywithrelevantanti-moneylaunderingregulationsandperformanti-moneylaunderingobligations.

Article7:ThePeople'sBankofChinaisresponsiblefortheissuanceandmanagementofthe"PaymentBusinessLicense".Thosewhoapplyforthe"PaymentBusinessPermit"mustbereviewedbythelocalbranchofthePeople'sBankofChinaandreportedtothePeople'sBankofChinaforapproval.

ThebranchofthePeople'sBankofChinareferredtointheseMeasuresreferstothebranchesofthePeople'sBankofChinaabovethesub-provincialcentralbranchofacity.

Article8ApplicantsforthePaymentBusinessPermitshallmeetthefollowingconditions:

(1)AlimitedliabilitycompanyorjointstocklimitedcompanylegallyestablishedwithintheterritoryofthePeople’sRepublicofChina,Anditisanon-financialinstitutionlegalperson;

(2)HaveaminimumamountofregisteredcapitalthatmeetstherequirementsoftheseMeasures;

(3) Имате участник, който отговаря на изискванията на тези мерки;

(9)Theapplicantanditsseniormanagementpersonnelhavenotbeenpunishedforusingpaymentservicestocarryoutillegalorcriminalactivitiesortohandlepaymentservicesforillegalandcriminalactivitiesinthepast3years.

Article9Ifanapplicantintendstoengageinpaymentbusinessnationwide,theminimumregisteredcapitalshallbe100millionyuan;ifanapplicantintendstoengageinpaymentbusinesswithinaprovince(autonomousregionormunicipality),itsregistrationTheminimumcapitallimitis30millionyuan.Theminimumamountofregisteredcapitalisactuallypaid-incurrencycapital.

AsmentionedintheseMeasures,thepaymentbusinessiscarriedoutnationwide,includingapplicantswhosetupbranchesacrossprovinces(autonomousregions,municipalities)toengageinpaymentbusiness,orcustomerscantransactpaymentbusinessacrossprovinces(autonomousregions,municipalities)situation.

ThePeople'sBankofChinaadjuststheminimumamountofregisteredcapitalforapplicantsinaccordancewithrelevantnationallaws,regulationsandpolicies.

Thebusinessscopeofforeign-investedpaymentinstitutions,thequalificationsofoverseasinvestorsandtheproportionofcapitalcontributions,etc.,shallbeseparatelystipulatedbythePeople'sBankofChinaandsubmittedtotheStateCouncilforapproval.

Article10Themaininvestoroftheapplicantshallmeetthefollowingconditions:

(4)Inthelast3years,nopunishmenthasbeenimposedforusingpaymentservicestocarryoutillegalorcriminalactivitiesortohandlepaymentservicesforillegalorcriminalactivities.

ThemaininvestorasmentionedintheseMeasuresincludestheinvestorwhohasactualcontroloftheapplicantandtheinvestorwhoholdsmorethan10%oftheequityoftheapplicant.

Article11TheapplicantshallsubmitthefollowingdocumentsandmaterialstothelocalbranchofthePeople’sBankofChina:

(1) Писмено заявление, в което се посочва името, местожителството и регистрационния капитал на кандидата, организационната структура и предлагания бизнес за плащане и др.;

(2) Копие на бизнес лиценза на компанията (дубликат);

(3) Устав на асоциация;

(4)Сертификат за проверка на капитала;(5)Финансово-счетоводен отчет, одитиран от счетоводна фирма;

(6) Доклад за изследване на осъществимостта на платежния бизнес;

(7)Мерки за борба с изпирането на пари Материали за приемане;

(8) Сертификация за изпитване на техническа безопасност;

(9) Резюме материали на висш управленски персонал;

(10) Кандидатите и тяхното удостоверение за некриминално досие на висш управленски персонал;

(11) Съответни материали на главния инвеститор;

(12) Декларация за автентичност на материалите за приложение.

Article12Theapplicantshallannouncethefollowingmattersasrequiredafterreceivingtheacceptancenotice:

(1)Структура на регистрирания капитал и собствения капитал на кандидата;

(2) Списък на основните инвеститори, дялово съотношение и финансово състояние;

(3)Плащателният бизнес, за който ще се кандидатства;

(4)Бизнес място на кандидата;

(5)Technicalsafetyinspectionandcertificationcertificateofpaymentbusinessfacilities.

Article13ThebranchesofthePeople'sBankofChinashallacceptallapplicationsthatmeettherequirementsinaccordancewiththelaw,andsubmitthepreliminaryreviewopinionsandapplicationmaterialstothePeople'sBankofChina.UponreviewandapprovalbythePeople'sBankofChina,a"PaymentBusinessPermit"shallbeissuedinaccordancewiththelawandanannouncementshallbemade.

The"PaymentBusinessLicense"isvalidfor5yearsfromthedateofissuance.IfapaymentinstitutionintendstocontinuetoengageinpaymentbusinessaftertheexpirationofthePaymentBusinessPermit,itshallsubmitanapplicationforrenewaltothelocalbranchofthePeople'sBankofChinawithin6monthsbeforetheexpirationoftheterm.IfthePeople'sBankofChinaapprovestherenewal,thevalidityperiodofeachrenewalis5years.

Article14Ifapaymentinstitutionchangesanyofthefollowingitems,itshallreporttothePeople’sBankofChinaforapprovalbeforeapplyingtothecompanyregistrationauthorityforchangeregistration:

(1) Промяна на името на компанията, регистрирания капитал или организационната форма;

(2) Промяна на основния инвеститор;

(3)Дивизия за сливане;

(4) Коригирайте вида на бизнеса или променете покритието на бизнеса.

Article15Whenapaymentinstitutionappliesforterminationofpaymentbusiness,itshallsubmitthefollowingdocumentsandmaterialstothelocalbranchofthePeople’sBankofChina:

(1)WrittensignedbythelegalrepresentativeofthecompanyApplication,statingthecompanyname,paymentbusinessdevelopmentstatus,proposedterminationofpaymentbusinessandreasonsfortermination,etc.;

(2) Копие на бизнес лиценза на компанията (дубликат);

(3) Копие на „Лиценза за разплащателен бизнес“;

(4)План за защита на законните права на клиента;

(5)План за обработка на бизнес информация за плащане.

Iftheterminationisapproved,thepaymentinstitutionshallcompletetheterminationworkinaccordancewiththeapprovalofthePeople’sBankofChinaandreturnthePaymentBusinessPermit.

Член 16 Формати, които не са предвидени в процедурите за лицензиране в тази глава, ще се прилагат „мерките за прилагане на административното лицензиране на Народната банка на Китай“ (Заповед на Народната банка на Китай [2004] № 3).

Глава III Надзор и управление

Article17PaymentinstitutionsshallengageinbusinessactivitiesinaccordancewiththebusinessscopeapprovedbythePaymentBusinessPermit.Thoseengagedinbusinessoutsidetheapprovedscopeshallnotbeoutsourced.

На разплащателните институции не е разрешено да прехвърлят, отдават под наем или заемат „лиценза за разплащателен бизнес“.

Article18:Paymentinstitutionsshall,inaccordancewiththerequirementsofprudentoperation,formulatepaymentbusinessmethodsandcustomerrightsprotectionmeasures,establishandimproveriskmanagementandinternalcontrolsystems,andreporttothelocalbranchofthePeople’sBankofChinafortherecord.

Article19Paymentinstitutionsshalldeterminethechargingitemsandchargingstandardsforpaymentservices,andreporttothelocalbranchofthePeople’sBankofChinafortherecord.

Paymentinstitutionsshallpubliclydisclosethechargingitemsandchargingstandardsoftheirpaymentservices.

Article20:PaymentinstitutionsshallsubmitpaymentbusinessstatisticalreportsandfinancialaccountingreportstothelocalbranchofthePeople’sBankofChinainaccordancewithregulations.

Article21:Paymentinstitutionsshallformulatepaymentserviceagreementstoclarifytheirrightsandobligationswithcustomers,principlesforhandlingdisputes,andliabilitiesforbreachofcontract.

PaymentinstitutionsshallpubliclydisclosetheformatclausesofthepaymentserviceagreementandreporttothelocalbranchofthePeople’sBankofChinafortherecord.

Article22Whereabranchofapaymentinstitutionisengagedinpaymentbusiness,thepaymentinstitutionanditsbranchshallgotothelocalbranchofthePeople’sBankofChinafortherecord.

Ifthebranchofthepaymentinstitutionterminatesthepaymentbusiness,itshallbehandledinaccordancewiththeprecedingparagraph.

Article23Whenapaymentinstitutionacceptsacustomer'sreserve,itcanonlyissueaninvoicetothecustomerbasedonthepaymentservicefeecharged,andcannotissueaninvoicebasedontheacceptedamountofthecustomer'sreserve.

Article24Thecustomerreservefundacceptedbythepaymentinstitutiondoesnotbelongtothepaymentinstitution’sownproperty.

Paymentinstitutionscanonlytransferreservefundsbasedonpaymentinstructionsinitiatedbycustomers.Itisforbiddenforpaymentinstitutionstomisappropriatecustomerreservefundsinanyform.

Article25,thepaymentinstitutionshallrecordthefollowingitemsinthepaymentinstructioninitiatedbythecustomer:

(1)името на платеца;

(2) Определената сума;

(3)името на получателя;

(4)името на банката или разплащателната институция на платеца;

(5) Името на банката или разплащателната институция на бенефициента;

(6) Датата на приключване на платежната инструкция.

Ifacustomerpaysthroughabanksettlementaccount,thepaymentinstitutionshouldalsorecordthecorrespondingbanksettlementaccountnumber.Ifacustomerpaysthroughanon-banksettlementaccount,thepaymentinstitutionshallalsorecordthenameandnumberonthecustomer’svalidID.

Article26Whenapaymentinstitutionacceptsaclient'sreservefund,itshallopenaspecialdepositaccountforthereservefundinacommercialbanktodepositthereservefund.UnlessotherwisespecifiedbythePeople'sBankofChina.

Paymentinstitutionscanonlychooseonecommercialbankasthereservefunddepositorybank,andonlyonespecialreservedepositaccountcanbeopenedinabranchofthecommercialbank.

Thepaymentinstitutionshallsignareservefunddepositoryagreementwiththelegalentityorauthorizedbranchofthecommercialbanktoclarifytherights,obligationsandresponsibilitiesofbothparties.

PaymentinstitutionsshallsubmitinformationonthedepositoryagreementandspecialdepositaccountforreservefundstothelocalbranchofthePeople’sBankofChina.

Article27Thebranchofapaymentinstitutionshallnotopenaspecialreservedepositaccountinitsownname,andcanonlydeposittheacceptedreserveinthespecialreserveopenedbythepaymentinstitutionDepositaccount.

Article28Whenapaymentinstitutionadjuststhepositionsofdifferentspecialreservedepositaccounts,thelegalentityofthereservedepositorybankshalladjustthebalanceofthespecialreservedepositaccounttobeadjustedbythepaymentinstitutionCarryoutareviewandinformthepaymentinstitutionandtherelevantreservefunddepositorybankofthereviewopinions.

Thepaymentinstitutionshall,withthereviewopinionsissuedbythelegalpersoninstitutionofthereservedepositorybank,handlethepositionallocationofthespecialdepositaccountforthereservefund.

Article29Thereservedepositorybankshallsupervisetheuseofcustomerreservefundsdepositedinthisinstitution,andprovidethebranchofthePeople’sBankofChinawherethereservedepositorybankislocated.Institutionsandthelegalpersoninstitutionsofthereservefunddepositorybankshallsubmitinformationandmaterialssuchasthedepositoryorusagestatusoftheclient'sreservefund.

Forthepaymentinstitution’sapplicationorinstructiontousetheclient’sreservefundinviolationoftherelevantprovisionsofArticles25to28,thereservedepositorybankshallrejectit;itisfoundthattheclient’sreservefundhasbeenIncaseofillegaluseorotherabnormalcircumstances,itshallimmediatelyreporttothebranchofthePeople'sBankofChinawherethereservedepositorybankislocatedandthelegalpersoninstitutionofthereservedepositorybank.

Article30:Theratioofthepaid-inmonetarycapitalofthepaymentinstitutiontotheaveragedailybalanceofthecustomer’sreserveshallnotbelessthan10%.

The“averagedailybalanceofcustomerreserves”mentionedintheseMeasuresreferstotheaverageamountcalculatedbythelegalentityofthereservedepositorybankbasedonthetotalamountofcustomerreservesattheendofeachdayofthepaymentinstitutioninthelast90daysvalue.

Article31Thepaymentinstitutionshallcheckthecustomer’svalidIDorothervalididentificationdocumentsasrequired,andregisterthebasicinformationofthecustomer’sidentity.

Apaymentinstitutionthatknowsorshouldknowthatacustomerusesitspaymentbusinesstocarryoutillegalandcriminalactivitiesshouldstopprocessingpaymentservicesforit.

Article32Paymentinstitutionsshallhavethenecessarytechnicalmeanstoensurethecompleteness,consistencyandnon-repudiationofpaymentinstructions,thetimeliness,accuracyandsecurityofpaymentbusinessprocessing;Possessdisasterrecoveryprocessingcapabilitiesandemergencyresponsecapabilitiestoensurethecontinuityofpaymentbusiness.

Article33Paymentinstitutionsshallprotectcustomers’commercialsecretsinaccordancewiththelawandshallnotdisclosethemtotheoutsideworld.Exceptasotherwiseprovidedbylawsandregulations.

Article34Paymentinstitutionsshallproperlykeepthebasiccustomeridentityinformation,paymentbusinessinformation,accountingfilesandothermaterialsinaccordancewithregulations.

Article35Paymentinstitutionsshallacceptregularorirregularon-siteinspectionsandoff-siteinspectionsbythePeople’sBankofChinaanditsbranches,providerelevantinformationtruthfully,andshallnotrefuse,obstructorevadeinspections,andshallnotmakefalsereports.,Concealanddestroyrelevantevidencematerials.

Article36ThePeople’sBankofChinaanditsbranchesshallconductcorporategovernance,businessactivities,internalcontrol,riskstatus,andanti-moneylaunderingofpaymentinstitutionsinaccordancewithlaws,administrativeregulations,andrelevantprovisionsofthePeople’sBankofChina.Waitforregularorirregularon-siteinspectionsandoff-siteinspections.

Народната банка на Китай и нейните клонове извършват инспекции на място на разплащателни институции в съответствие със закона и прилагат „Наредбите за процедурата за проверка на правоприлагащите органи на Народната банка на Китай“ (Заповед на Народната банка на Китай [2010] № 1, обнародвана).

Article37ThePeople’sBankofChinaanditsbranchesmaytakethefollowingmeasurestoconducton-siteinspectionsofpaymentinstitutions:

(1)AskthestaffofpaymentinstitutionsandaskthemtoExplainandexplaintheinspecteditems;

(2)Viewandcopythedocumentsandmaterialsrelatedtotheinspecteditems,andsealthedocumentsandmaterialsthatmaybetransferred,concealedordamaged;

(3)Checkthespecialdepositaccountandrelatedaccountsofthecustomerreservefundofthepaymentinstitution;

(4) Проверете разплащателните бизнес съоръжения и свързаните с тях съоръжения.

Article38Ifapaymentinstitutionhasoneofthefollowingcircumstances,thePeople’sBankofChinaanditsbrancheshavetherighttoorderittostopsomeorallofthepaymentbusiness:

(1)Натрупаната загуба надвишава 50% от действително внесения валутен капитал;

(2) Съществува голям бизнес риск;

(3) Има сериозно нарушение на закони и разпоредби.

Article39Ifapaymentinstitutionisterminatedduetodissolution,cancellationordeclarationofbankruptcy,itsliquidationshallbehandledinaccordancewithrelevantnationallawsandregulations.

Глава IV Наказателни разпоредби

Article40ThestaffofthePeople’sBankofChinaanditsbranchesshallbesubjecttoadministrativePunishment;ifacrimeisconstituted,criminalresponsibilityshallbeinvestigatedaccordingtolaw:

(1) Нарушаване на разпоредбите за съхраняване и одобряване на приложението, модификация, прекратяване и други въпроси на „Лиценза за разплащателен бизнес“;

(2)) Проверка на разплащателни институции в нарушение на разпоредбите;

(3)Изтичане на известни държавни тайни или търговски тайни;

(4)Други действия при злоупотреба с власт и небрежност на задълженията.

Article41Ifacommercialbankhasanyofthefollowingcircumstances,thePeople’sBankofChinaanditsbranchesshallorderittomakecorrectionswithinatimelimit,andgiveawarningorimposeafineof10,000to30,000;thecircumstancesareserious,ThePeople’sBankofChinaordersittosuspendorterminatethedepositorybusinessoftheclient’sreservefunds:

(1) Недокладване на депозитаря или използване на информация за резервните средства на клиента, както се изисква;

(2)Failingtoreviewthepaymentinstitution’sadjustmentofthepositionofthespecialdepositaccountforreservefundsaccordingtoregulations;

(3)Failingtocheckthepaymentinstitution’suseofcustomerreservefundsinviolationofregulationsTheapplicationorinstructionisrejected.

Article42Ifapaymentinstitutionhasanyofthefollowingcircumstances,thebranchofthePeople’sBankofChinashallorderittomakecorrectionswithinatimelimit,andgiveawarningorimposeafineof10,000yuanupto30,000yuan:

(1)Failuretoestablishrelevantsystemsandmeasuresorriskmanagementmeasuresasrequired;

(2) Непреминаване през съответните процедури за подаване, както се изисква;

(3) Неспазване на разпоредбите за публично оповестяване на свързани въпроси;

(4) Неспазване на подателя на съответните материали в съответствие с разпоредбите;

(5) Необработване на свързани промени в съответствие с разпоредбите;

(6) Неиздаване на фактури на клиенти съгласно разпоредбите;

(7) Неспазване на бизнес тайните на клиентите съгласно разпоредбите.

Article43Ifapaymentinstitutionhasoneofthefollowingcircumstances,thebranchofthePeople’sBankofChinashallorderittomakecorrectionswithinatimelimitandimposeafineof30,000yuan;ifthecircumstancesareserious,thePeople’sBankofChinashallcancelitspaymentbusinessLicense”;ifacrimeissuspected,itshallbetransferredtothepublicsecurityorganforinvestigation;ifacrimeisconstituted,criminalresponsibilityshallbeinvestigatedinaccordancewiththelaw:(1)Transfer,lease,orlendthe“PaymentBusinessLicense”;

(2) Надвишаване на одобрения бизнес обхват или възлагане на бизнеса на външни изпълнители;

(3) Несъхраняване или използване на резервните средства на клиента, както се изисква;

(4) Не се спазват разпоредбите относно съотношението на внесения паричен капитал към резервния фонд на клиента;

(5) Прекъсване или прекратяване на платежния бизнес без уважителна причина;

(6)Свързани инспекции с отхвърлящ възпрепятстван надзор;

(7)Otherviolationsoflawsandregulationsthatendangerthestableoperationofpaymentinstitutions,harmthelegitimaterightsandinterestsofcustomers,orendangerthepaymentservicemarket.

Article44Ifapaymentinstitutionfailstoperformitsanti-moneylaunderingobligationsinaccordancewithregulations,thePeople’sBankofChinaanditsbranchesshallimposepenaltiesinaccordancewithrelevantnationalanti-moneylaunderinglawsandregulations;ifthecircumstancesareserious,thePeople’sBankofChinashallcancelits"PaymentBusinessLicense".

Article45IfapaymentinstitutioncontinuestoengageinpaymentbusinessbeyondthevalidityperiodofthePaymentBusinessPermit,thePeople’sBankofChinaanditsbranchesshallorderittoterminatethepaymentbusiness;ifacrimeissuspected,itshallbetransferredtothepublicsecurityagencyaccordingtolawFileacaseforinvestigation;ifacrimeisconstituted,criminalresponsibilityshallbeinvestigatedinaccordancewiththelaw.

Article46Ifthe"PaymentBusinessPermit"isappliedforbyfraudorotherimpropermeansbutisnotapproved,theapplicantandtheinvestorholdingmorethan5%ofitsequityshallnotapplyorreapplywithin3years.Participateintheapplicationfor"PaymentBusinessLicense".
